Ask buyers to sign an NDA and hide your business name until they do

How sellers of businesses switch on the click-to-sign NDA and hide the name and web address, how buyers sign for their organisation, and what each signature records.

When you sell a business on the marketplace, you can ask every buyer to sign a standard non-disclosure agreement (NDA) before they see what you keep private — and you can hide the business's name and web address until they have signed.

For sellers: switch it on for a listing

  1. Open Marketplace, then Sell, and open the listing.
  2. On the card Ask buyers to sign an NDA, tick Buyers must sign the NDA for this listing.
  3. To keep the business anonymous, also tick **Hide the business name and web address until a
  4. buyer has signed**. Hiding the name always asks for the NDA as well.

  5. Press Save.

The option is there for businesses for sale: websites, Shopify stores, Amazon FBA businesses, Etsy shops and domains. Under Who has signed you see each buyer organisation, the person who signed and the date.

The web address on your listing is masked for anyone who has not signed. Your title, summary and description are shown to everyone, so keep the business name out of them if you want it hidden.

For buyers: read and sign

On a listing that asks for an NDA you see the card Sign the NDA to see more. The agreement is shown in your language once it has been translated; until then it is shown in English, and you are agreeing to the English text. Press Sign for my organisation: the NDA is signed for the organisation you are working in (switch organisation at the top of the page first if you work for more than one). Once signed, Show on the listing reveals the business's web address.

What the NDA says, in short

  • You use what you learn only to decide whether to buy the business and to complete the purchase.
  • You share it only with your own advisers, lenders or investors who are bound to keep it
  • confidential, and you are responsible for them.

  • You do not contact the business's customers, suppliers, staff or platforms without the seller's
  • written permission, and you do not copy its products, content or name.

  • You delete or return the information if the seller asks or if you decide not to buy.
  • The duties last two years from signing, or until you buy the business.
  • Neither side has to make or accept an offer.

What we record

Each signature records the person, the organisation, the time, the IP address, the browser, the version of the agreement and a fingerprint of the exact text shown. If the text changes while you are reading it, we ask you to read the new text and sign again. Signing twice keeps the first signature. Zinn Digital® runs the marketplace and keeps the record; the agreement is between the buyer and the seller.
